1. Agreement to these Terms

These Terms & Conditions ("Terms") govern your access to and use of the website at breakoutcircle.com, the membership platform, live sessions, events, community spaces, and related content and services (together, "the Service"). By creating an account, joining the waiting list, or purchasing a membership, you agree to these Terms, our Privacy Policy, and our Refund & Cancellation Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to purchase a membership or use the Service. By subscribing, you confirm that you are 18 or over and able to enter into a binding contract.

3. The Service

The Breakout Circle provides educational content, training resources, live sessions, events, and access to a private community for personal development purposes. The exact features available to you depend on the membership package you select. We may improve, add to, or adjust the content and features of the Service from time to time, provided this does not materially reduce what you have paid for during a paid period.

4. Membership packages and billing

• Student: USD $200 per month, billed monthly until cancelled.
• Visionary: USD $300 payable upfront on joining, then USD $211.99 per month, billed monthly until cancelled.
• Platinum: USD $2,120 per year, billed annually and renewing automatically each year until cancelled.

All prices are in United States Dollars (USD) and are shown before checkout. Memberships are recurring subscriptions: your chosen payment method will be charged automatically at the start of each billing period until you cancel. Payments are processed by a third-party payment provider through a secure checkout; we do not store your full card details. If a renewal payment fails, we may retry it and may suspend access until payment is made. If we change prices, we will give existing members reasonable advance notice, and changes will apply from your next billing period.

5. Waiting list

When membership is at capacity, you may register on our waiting list. Joining the waiting list is free, does not create a subscription, and does not oblige you to purchase. We will contact you by email when a place becomes available.

6. Cancellation

You may cancel your membership at any time by emailing support@breakoutcircle.com (or using any cancellation feature available in your account). Cancellation stops future renewal charges. Your access continues until the end of the billing period you have already paid for, and no further charges will be made after cancellation takes effect. See the Refund & Cancellation Policy for details.

7. Refunds

Refunds are handled in accordance with our Refund & Cancellation Policy and any rights you have under applicable consumer protection laws, which are not excluded by these Terms.

8. Your account

You are responsible for keeping your login credentials confidential and for all activity under your account. Memberships are personal to you and may not be shared, resold, or transferred. Notify us promptly if you believe your account has been accessed without authorisation.

9. Community rules and acceptable use

Our community exists to support real growth. When using the Service, including any community spaces, you agree not to:

• harass, abuse, threaten, or discriminate against any person;
• share content that is unlawful, defamatory, obscene, or infringes the rights of others;
• promote, solicit, or spam other members, or recruit them to other services, without our permission;
• share, record, redistribute, or resell any content from the Service, including live sessions and course materials;
• attempt to interfere with, reverse engineer, or gain unauthorised access to the Service.

We may remove content and may suspend or terminate membership for serious or repeated breaches of these rules. If we terminate your membership without cause, we will refund the unused portion of any prepaid period on a pro-rata basis.

10. Intellectual property

All content on the Service, including videos, courses, session recordings, text, graphics, and branding, is owned by or licensed to the Company and is protected by intellectual property laws. Your membership gives you a personal, non-exclusive, non-transferable licence to access and use the content for your own personal, non-commercial development while your membership is active. You retain ownership of content you post in the community, and you grant us a licence to host and display it within the Service.

11. Educational content only, no advice

The Service provides general educational and informational content only. It does not constitute financial, investment, legal, medical, health, or other professional advice, and no outcome or result is guaranteed. Individual results vary and depend on your own effort and circumstances. Always consult a suitably qualified professional before acting on health, fitness, nutrition, or financial information. Nothing in the Service is a promise of income or earnings.

12. Live sessions, events, and third-party platforms

Live session schedules and event dates may change. Selected sessions may be recorded and made available inside the platform. Parts of the Service, such as the community, may run on third-party platforms (for example a private messaging or community app), and your use of those platforms is also subject to their own terms.

13. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot be excluded by law, including liability for fraud or for death or personal injury caused by negligence. Subject to that, we are not liable for indirect, incidental, or consequential losses, loss of profits, or loss of data, and our total aggregate liability to you in connection with the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim.

14. Termination

You can stop using the Service and cancel at any time. We may suspend or terminate access for breach of these Terms as described in section 9, or discontinue the Service entirely, in which case we will refund any unused prepaid period on a pro-rata basis.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify members by email or through the Service with reasonable notice before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing law

These Terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have non-exclusive jurisdiction over disputes arising from these Terms. If you are a consumer, you keep the benefit of any mandatory consumer protections of the country in which you reside.
